Article 1: Definitions

• Work: All artistic works provided by the artist.
• Digitization: The process of capturing the work in 8K high resolution and converting it into a digital file.
• Metadata: Data included in the digitized file that proves its authenticity and originality.
• Revenue Distribution: The percentage of revenue distributed between the company and the artist generated from the sale and use of the work.
• Joint Ownership: Rights jointly owned by the company and the artist for new works created through collaboration.
• License: The right for the company to use the artist's work for commercial purposes.

Article 2: Purpose of the Contract

The purpose of this contract is to digitize the artist's work and commercialize it through various channels to create revenue through cooperation between the artist and the company while protecting the rights.

Article 3: Rights and Obligations

1. Rights and Obligations of the Company

• The company shall digitize the artist's work in 8K high resolution and provide all necessary equipment and personnel for this purpose.
• The company holds the right to commercialize the digitized work through various platforms.
• The company shall distribute the revenue generated from all sales and distribution processes to the artist according to the pre-agreed ratio.
• The company shall provide necessary legal support to protect the artist's work.
• The company has the right to review and modify the contract terms annually if necessary.

2. Rights and Obligations of the Artist

• The artist retains ownership of their work and holds the right to pre-approve the use of the digitized work.
• The artist provides all necessary information to the company to ensure the originality of the work.
• The artist shall maintain a cooperative relationship with the company during the contract period and provide works according to mutually agreed terms.
• The artist has an obligation to cooperate with the company's marketing and promotional activities.
• The artist retains the right to take measures to protect the copyright of the work.
• The artist has the right to receive reports on the use and sale of the work as specified in the contract.

Article 4: Revenue Distribution

The company shall fairly distribute the revenue generated from the sale and use of the digitized work to the artist.

If the artist bears the production and distribution costs based on the distribution and supplier price, the revenue distribution is 50% for the artist and 50% for the company after deducting production and distribution costs.

If the artist does not bear the production and distribution costs, the revenue distribution is 30% for the artist and 70% for the company.

The confirmed revenue distribution ratio is as follows:

Revenue shall be settled monthly, and all revenue reports shall be transparently disclosed. Additionally, bonuses may be paid for specific performance achievements.

Revenue Reports

The company shall provide a monthly revenue report to the artist at the end of each month, including sales details, usage, revenue amounts, etc. The artist may review the report and raise objections if necessary.

Additional Bonuses and Incentives

If the annual sales target is exceeded, the company may provide additional bonuses and incentives to the artist, determined through a separate agreement.

Article 5: Copyright and Intellectual Property Rights

• The artist retains the copyright of the provided work, and the company has the right to use it for digitization and commercialization.
• The metadata of the digitized work proves its authenticity and originality, and the company takes necessary measures to protect it.
• The artist may take legal measures to protect the copyright of the digitized work, and the company supports this.
• The company provides legal protection to prevent the unauthorized use of the artist's work.
• All works jointly created shall have joint ownership according to the pre-agreed contract terms.
• The artist retains the right to pre-approve the use of the work for promotional and educational purposes.

Article 6: Termination of the Contract

• The contract may be terminated by mutual agreement, and either party may terminate the contract if the other party violates the contract terms.
• Upon termination of the contract, all unpaid revenue shall be settled immediately.
• Even after the termination of the contract, both parties shall continue to comply with copyright and confidentiality obligations.
• The artist may request a copy of the digitized work after the termination of the contract, and the company shall provide it.

Article 7: General Provisions

1. Governing Law

This contract shall be interpreted in accordance with the laws of the Republic of Korea.

2. Dispute Resolution

All disputes arising from this contract shall be resolved through arbitration at an arbitration institution located in Seoul, Republic of Korea.

3. Confidentiality

Both parties shall keep all information related to this contract confidential and shall not disclose it to third parties.

The confidentiality obligation shall continue even after the termination of the contract.

4. Contract Amendment

This contract may only be amended with the written consent of both parties.

5. Fairness and Cooperation

Both parties shall perform the contract based on mutual fairness and cooperation, maintaining trust and transparency.

Electronic Signatures and Legal Effect

• This contract is considered a legally binding contract between the company and the artist through electronic signatures.
• Electronic signatures have legal effect to verify the identity of each party and confirm approval of the contract content.
• The hash value of the contract ensures the integrity of the contract content, proving that it has been maintained in its original state without any modification.
• This contract is valid under the relevant laws of the Republic of Korea, including the Framework Act on Electronic Documents and Electronic Transactions and the Electronic Signature Act.
• The hash value generated after the electronic signature is stored to ensure consistency and authenticity of the contract and may be used as legal evidence in case of disputes.
